Annual Member Meeting 20200717

Note that due to the realities of COVID-19 rules mandating social distancing, attendance at the meeting is restricted to the Secretary, designated tabulators, and invited observers. Members may vote in the election by submitting a proxy that was supplied to them - either by US mail, electronically, or by dropping it off - to be voted as directed by the Secretary.

2020 Bylaws amendments proposal

At the time that ballots were mailed, there were 272 voting members. Rounding to closest, the following are thresholds for meeting validity:

  • ⅓ Quroum : 0.33333333 x 272 = 90.66666576 = 91 members required to elect directors
  • ⅔ Quorum : 0.66666667 x 272 = 181.33333424 = 181 members required to amend bylaws

These numbers are preliminary and subject to (likely upward) revision.

Due to the tie for 5th place and lack of a mechanism in the bylaws to resolve ties - and with the consensus of all present - the Secretary opted for a game of chance with two die cast for each contestant for the 5th seat. A 12 was cast for Curtis Baker, a 9 was cast for Jim Hartnett, thus Curtis Baker was declared winner.

The bylaws amendments tallies are presented below, but for lack of enough voters present to reach ⅔ quorum, the vote is invalid.
